These Terms of Service ("Terms") govern your access to and use of the GrnEdge Platform. For contracted clients, the written and executed Contract between You and GrnEdge LLC shall control in the event of any conflict with these Terms.
By accessing or using the Platform, You agree to be bound by these Terms. If You disagree with any part of these Terms, do not use the Platform. You represent that You are at least 18 years of age.
Your access to and use of the Platform is also governed by Our Privacy Policy and Cookies Policy, which are incorporated by reference.
When You create an Account, You must provide information that is accurate, complete, and current. Failure to do so may result in suspension or termination. You are responsible for safeguarding Your password and for any activities under Your Account. Notify Us immediately of any unauthorized use or breach of security. Usernames may not infringe on others' rights or contain offensive material.
You are responsible for all Content You post or transmit through the Platform. By submitting Content, You grant GrnEdge a worldwide, non-exclusive, royalty-free license to host, store, display, and process that Content for the purpose of operating and improving the Platform.
You represent and warrant that:
You may not post or transmit any Content that is unlawful, defamatory, discriminatory, obscene, harmful, infringing, or otherwise objectionable. GrnEdge reserves the right, but not the obligation, to remove or restrict any Content that violates these Terms.
You retain ownership of all data, files, and materials You provide to GrnEdge ("Client Data"). By submitting or uploading Client Data, You grant GrnEdge a limited, non-exclusive, royalty-free license to process, analyze, and store such data solely to deliver and improve the contracted Services.
GrnEdge may aggregate and anonymize Client Data to create benchmarks or improve system performance, provided that no Client Data is personally identifiable. GrnEdge complies with all applicable data-protection laws and does not sell or share personal data except as disclosed in the Privacy Policy.
The GrnEdge Platform and Services may include features powered by artificial intelligence ("AI"), automation, or machine-learning systems provided by GrnEdge LLC or third-party vendors (including OpenAI). AI-generated outputs may include text, summaries, or analyses. While GrnEdge endeavors to ensure accuracy, such outputs may be incomplete or contain errors.
You acknowledge and agree that AI results are provided for informational purposes only and should not be relied upon as professional, financial, legal, or business advice. You are solely responsible for verifying any AI-generated information before using it. GrnEdge expressly disclaims liability for any actions taken in reliance on AI-generated outputs.
Except for Content You provide, all materials, features, and functionality of the Platform—including software, text, design, trademarks, and trade dress—are the exclusive property of GrnEdge LLC or its licensors and are protected under U.S. and international law. No part of the Platform may be reproduced, distributed, or exploited without prior written consent from GrnEdge.
If You provide suggestions, feedback, or ideas ("Feedback") to GrnEdge, You grant GrnEdge a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and distribute such Feedback without restriction or obligation.
Our Platform may contain links to third-party websites or services not owned or controlled by GrnEdge. We are not responsible for their content, privacy practices, or any damages arising from Your use of them. You are encouraged to review the terms and policies of any third-party sites You visit.
We may suspend or terminate Your Account at any time, without notice, for any reason, including violation of these Terms. Upon termination, Your right to use the Platform ceases immediately. You may terminate Your Account at any time by discontinuing use of the Platform.
To the fullest extent permitted by law, GrnEdge's total cumulative liability arising from or related to the Platform or these Terms shall not exceed one thousand U.S. dollars ($1,000) or the total amount paid by You to GrnEdge under the applicable Contract in the twelve (12) months preceding the event giving rise to the claim, whichever is greater.
This limitation applies to all causes of action, whether in contract, tort (including negligence), strict liability, or otherwise, except for damages arising from GrnEdge's gross negligence or willful misconduct.
In no event shall GrnEdge LLC be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, even if advised of their possibility.
The Platform is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, or non-infringement. GrnEdge does not warrant that the Platform will be uninterrupted, error-free, or secure.
These Terms are governed by the laws of the State of Connecticut, United States, excluding its conflict-of-law principles.
Any dispute arising from or relating to these Terms shall be resolved through binding arbitration in Windham County, Connecticut, administered by the American Arbitration Association under its Commercial Arbitration Rules. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
Both parties waive any right to a jury trial or to participate in a class action.
You represent and warrant that:
Neither party shall be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, acts of government, labor disputes, network outages, or other force majeure events.
If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in effect. Failure to enforce any right or provision shall not constitute a waiver of such right or provision.
These Terms, together with any applicable Contract, Privacy Policy, and Cookies Policy, constitute the entire agreement between You and GrnEdge LLC regarding use of the Platform and supersede all prior understandings.
We may modify these Terms at any time. Material changes will be posted on this page with a revised "Last updated" date. Continued use of the Platform after such changes constitutes acceptance of the revised Terms.
